The terms below are a part of the Terms of Purchase and any capitalized terms herein that are not defined shall have the meaning ascribed to them in the Terms of Purchase.
1. Product Use Limitations and Licensing.
1.1. Research or Laboratory Use Only.
Products are sold and licensed for use by Customers for research or laboratory use only. Products are not to be used for any other purpose including, but not limited to, commercial purposes, human consumption or application, clinical diagnostics, or use in drugs, medical devices or cosmetics.
1.2. Additional License.
A separate written license from IROA Technologies is required for the use of any Product for diagnostic or therapeutic purposes, or any purchase of Products for resale or distribution (alone or as a component). FOR THE AVOIDANCE OF DOUBT, THE PURCHASE OF PRODUCT DOES NOT GRANT ANY RIGHT OR LICENSE TO USE SUCH PRODUCT FOR ANY PURPOSE EXCEPT RESEARCH OR LABORATORY USE.
1.3. Commercial Entities.
If the Customer is a commercial entity other than a non-profit, academic research institute, please contact us prior to use of the Products, as an additional licensing agreement may be required. If you require commercial use rights to our Product Reagents and/or ClusterFinder™ software (including the right to perform fee-for-services), please contact us at legal@iroatech.com.
1.4. Handling of Product.
Stably-labeled products are considered safe but should be handled by qualified persons in a laboratory environment following Good Laboratory Practice and with the adoption of such safety precautions as may be necessary for any and each Product used. The use of laboratory coat, eye protection and gloves is strongly recommended. IROA Technologies disclaims any and all responsibility and liability for any injury or damage which may be caused by the failure of Customer to follow said practices, precautions and recommendations, including as may be provided in any specific product literature accompanying any Product or otherwise provided in the Terms of Purchase.
1.5. Suitability of Product and WARRANTY DISCLAIMER.
It is the sole responsibility of the Customer to determine the suitability of any Product, material and/or procedure for a specific research purpose or application. EXCEPT FOR ANY WARRANTIES AS MAY BE EXPRESSLY SET FORTH IN THE TERMS OF PURCHASE, IROA TECHNOLOGIES, LLC HEREBY DISCLAIMS, AND CUSTOMER HEREBY WAIVES, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

2.1. Copyright.
All content contained at the Website (which includes the internet location http://www.iroatech.com and all sub-pages of this internet location) is copyright of or licensed to IROA Technologies, LLC unless specifically identified otherwise. This includes without limitation all imagery, text and programmatic computer code. Please contact IROA Technologies for permission to reuse any content hosted on the Website. All rights are reserved.
2.2. Trademarks and Patents.
Trademarks and service marks (whether or not registered), and all trade names and trade dress, on or referenced on the Website and/or in connection with the Products are the sole property of IROA Technologies, LLC in the U.S. and/or other countries. IROA Technologies’ Products are covered by pending or issued patents.
